1. Agreement to Terms

By accessing or using Cortex ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Cortex is a modular business operations platform designed for growing businesses. The Service includes ticketing, customer management, AI agents, messaging, billing, and related modules.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You may not share your account with others or allow unauthorized access.

4. Subscription and Billing

4.1 Subscription Plans

The Service is offered under various subscription plans with different features and pricing. Details of each plan are available on our pricing page.

4.2 Free Trial

We offer a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

4.3 Payment

• Subscription fees are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as required by law.
• Prices may change with 30 days' notice.
• You are responsible for any applicable taxes.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until then.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful data
• Scrape, crawl, or use automated methods to access the Service
• Impersonate another person or entity
• Use the Service to send spam or unsolicited communications
• Violate any applicable laws or regulations

6. Data Ownership

6.1 Your Data

You retain ownership of all data you upload to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.

6.2 Data Export

You may export Your Data at any time through the Service's export features. Upon account termination, we will provide a reasonable period to export Your Data.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Triangle Ticketing and are protected by international copyright, trademark, and other intellectual property laws.

The Service may integrate with third-party services. Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for third-party services.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may suspend the Service for maintenance, updates, or other operational reasons with reasonable notice when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIANGLE TICKETING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to defend, indemnify, and hold harmless Triangle Ticketing and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after such notice constitutes acceptance of the new Terms.
